These Terms & Conditions (the "Terms") govern your access to and use of goldadex.com, any Goldadex mobile application, Goldadex accounts and member features, insured shipping-kit services, evaluation services, offers, purchases, returns, payouts, and related communications (collectively, the "Services"). The Services are operated by Goldadex LLC ("Goldadex," "we," "us," or "our").

By creating an account, requesting or using a shipping kit, sending property to Goldadex, accepting an offer, selecting a payment method, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services or send property to Goldadex.

 

1. Eligibility and Authority

You must be at least 18 years old, have legal capacity to enter a binding contract, and be located in a jurisdiction where the Services are permitted. Goldadex may restrict or decline service based on location, transaction value, risk, compliance requirements, or other lawful business reasons.

If you act for another person, trust, estate, or business, you represent that you have authority to bind that person or entity and to sell the submitted property. Goldadex may require documentation of that authority.

 

2. Account Information and Security

You agree to provide accurate, current, and complete information and to update it when it changes. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify Goldadex promptly at support@goldadex.com if you suspect unauthorized access.

Goldadex may require email confirmation, multifactor authentication, identity verification, or other security steps. We may suspend or close an account when reasonably necessary to protect a customer, Goldadex, or the integrity of the Services.

 

3. Ownership; No Stolen or Encumbered Property

By submitting property, you represent and warrant that: (a) you are the sole lawful owner or are fully authorized by the lawful owner; (b) the property is free of liens, claims, security interests, and other encumbrances; (c) the property is not stolen, counterfeit, unlawfully obtained, or connected to criminal activity; and (d) the transaction does not violate any law, court order, contract, fiduciary duty, or third-party right.

You must not submit property belonging to an employer, client, family member, estate, trust, or other person without documented authority. Goldadex may hold, decline, report, or surrender property when required or permitted by law or requested by law enforcement.

 

4. Items Accepted and Items Not Accepted

Goldadex may evaluate eligible precious-metal jewelry, bullion, coins, watches, dental gold, sterling silver, platinum, and other items identified in the Services or accepted by Goldadex in writing. Eligibility may change and does not guarantee that an offer will be made.

Do not send cash, weapons, hazardous materials, illegal items, live ammunition, controlled substances, items containing personal data, or property that a carrier prohibits. Unless Goldadex expressly agrees otherwise in writing, gemstones, diamonds, non-precious components, collectibles, branded value, artistic value, and sentimental value may not be separately appraised or included in an offer.

 

5. Shipping Kits and Packaging

A shipping kit and label are provided only for the person and transaction for which they were issued. Follow all current kit instructions, packaging requirements, carrier rules, label restrictions, weight limits, declared-value requirements, and drop-off instructions. Do not reuse, alter, duplicate, or transfer a label.

Before shipment, photograph the items and completed package, prepare an itemized list, retain the carrier receipt, and record the tracking number. Remove unrelated property and personal information. Failure to follow instructions may delay the transaction, reduce or eliminate available insurance coverage, or result in refusal or return of the shipment.

 

6. Shipping Risk and Insurance

Any statement that a kit or shipment is "insured" is subject to the applicable carrier, insurer, coverage limit, exclusions, documentation requirements, approved shipping method, and claim procedures disclosed in the kit instructions or shipping confirmation. Insurance is not unlimited and is not a guarantee that every claim will be paid.

Coverage may be unavailable or denied for prohibited items; inadequate packaging; inaccurate descriptions or values; unattended drop-offs; use of an unauthorized carrier, label, or location; missed deadlines; fraud; or failure to provide requested proof. Goldadex is not responsible for loss or damage occurring before the carrier accepts and scans the correctly packaged shipment or after a return shipment is delivered according to carrier records, except to the extent required by law.

You agree to cooperate promptly with any investigation or claim and to provide receipts, photographs, ownership records, appraisals, identity documents, declarations, and other reasonable evidence. Claim resolution and payment timing may depend on the carrier or insurer.

 

7. Receipt, Recording, and Chain of Custody

Carrier delivery confirmation does not necessarily establish the contents, condition, weight, or value of a package. Goldadex may document receipt and opening through photographs, video, weight records, item images, tamper-evident controls, and other chain-of-custody procedures. Goldadex's intake records may be used to resolve discrepancies, subject to applicable law.

 

8. Inspection, Testing, and Evaluation

You authorize Goldadex and its service providers to open the package; handle, sort, clean, weigh, photograph, scan, measure, inspect, and test submitted property; remove packaging or non-precious components; and perform commercially reasonable evaluation methods. Methods may include electronic testing, magnet testing, density testing, acid testing, X-ray fluorescence testing, scraping, filing, cutting, drilling, or melting when reasonably necessary and permitted by the transaction disclosures.

Some testing can leave marks, remove small amounts of material, separate components, damage finishes, affect collectibility, or make restoration impractical. Do not submit an item if you do not authorize the testing disclosed for the transaction or if sentimental, antique, artistic, branded, numismatic, gemstone, or other non-metal value may be important. Contact Goldadex before shipping if you want to request non-destructive testing only; Goldadex may decline the item or be unable to provide an offer.

Weights, purity readings, market references, deductions, and estimates may vary because of equipment tolerances, solder, plating, stones, fillings, moisture, dirt, non-precious components, and market movement. Goldadex's offer is based on its evaluation and purchasing criteria, not on an insurance appraisal, retail replacement value, or guarantee of resale value.

 

9. Identity Verification, Reporting, and Legal Holds

Goldadex may collect and verify government-issued identification, date of birth, address, signature, fingerprint or other information where legally required, tax information, ownership documentation, item photographs, and transaction records. Goldadex may use service providers and lawful databases to verify information and prevent fraud.

Transactions may be subject to secondhand-dealer licensing, reporting, inspection, recordkeeping, waiting or holding periods, anti-fraud controls, sanctions screening, tax reporting, unclaimed-property rules, subpoenas, court orders, and law-enforcement requests. These requirements may delay evaluation, return, transfer, payment, or disposal. Goldadex will not complete a transaction when prohibited by law.

 

10. Offers

After evaluation, Goldadex may issue an offer describing the total amount it is willing to pay and any material transaction-specific conditions. Goldadex is not required to make an offer and may withdraw or correct an offer before acceptance if it resulted from a typographical, technical, pricing, identity, compliance, or evaluation error.

Offers may reflect weight, verified purity, recoverable precious-metal content, then-current market conditions, refining and operational costs, item condition, resale potential, compliance costs, and other factors. Spot prices, online calculators, preliminary estimates, appraisals, photographs, or prior statements are informational only and are not binding offers.

Each offer remains available only for the period stated with that offer. If you do not accept within that period, Goldadex may revise or withdraw it based on market movement or other circumstances.

 

11. Accepting or Declining an Offer

You may accept or decline through the method specified by Goldadex. Your electronic acceptance is your instruction to sell the identified property for the stated amount, subject to completion of required verification and legal compliance. Goldadex may send a confirmation and retain an electronic record of your acceptance.

Once Goldadex confirms acceptance and all required conditions are satisfied, the sale is final and title to the accepted property transfers to Goldadex. Goldadex may then aggregate, resell, refine, recycle, melt, or otherwise process the property, and cancellation or return may no longer be possible.

If you decline, or if no transaction is completed, return arrangements, shipping method, insurance limit, fees (if any), and timing will be governed by the disclosures provided with your kit or offer and by applicable law. Goldadex may require confirmation of a current verified return address.

 

12. Returns and Undeliverable Property

Returned items may not be in their original packaging or exact pre-testing condition, and commercially reasonable testing marks or separation may remain. Goldadex will use reasonable efforts to return the property received, subject to lawful holds and these Terms.

You are responsible for maintaining accurate contact and delivery information and for receiving return shipments. If a return is refused, undeliverable, unclaimed, or repeatedly unsuccessful, Goldadex may store the property, charge reasonable storage or reshipping costs where disclosed and lawful, and handle the property under applicable abandoned- or unclaimed-property law. Goldadex will not treat property as abandoned sooner than permitted by law.

 

13. Payment

After a sale becomes final and all verification, compliance, and hold requirements are satisfied, Goldadex will initiate payment using an available method you select or otherwise approve. Available methods may include ACH bank deposit, Zelle, Venmo, or mailed check, but availability depends on transaction amount, location, provider eligibility, account verification, provider limits, and risk controls.

Payment times are estimates, not guarantees. Banks, payment networks, carriers, weekends, holidays, incorrect information, fraud reviews, legal holds, or provider outages may cause delays. You are responsible for providing accurate payout information and for fees charged by your own institution or provider. Goldadex may require a payment method registered in your name and may reject third-party payment instructions.

Do not send bank credentials or full account information by ordinary email or unsecured forms. Follow only the secure payout process designated by Goldadex. A check may be made payable only to the verified seller and mailed only to a verified address.

 

14. Taxes

You are responsible for determining and paying any federal, state, local, or other taxes arising from your sale. Goldadex may request taxpayer information, withhold amounts, or issue information returns when required by law. Goldadex does not provide tax advice.

 

15. Communications and Electronic Records

You consent to receive transactional communications electronically, including account, shipping, offer, acceptance, payout, security, and legal notices, at the email address or mobile number you provide. Standard message and data rates may apply. Marketing communications are subject to separate consent and opt-out rights.

You agree that electronic records, checkboxes, clicks, typed names, verification codes, and similar actions may serve as your signature and written consent to the extent permitted by law. You may print or save these Terms and transaction confirmations. Contact support@goldadex.com if you need a non-electronic copy or wish to withdraw consent for future electronic transactions; withdrawal may prevent further use of the Services.

 

16. Privacy

Our Privacy Policy explains how Goldadex collects, uses, discloses, retains, and protects personal information. The Privacy Policy is incorporated into these Terms by reference. Transaction reporting, identity verification, fraud prevention, shipping, insurance, and payouts may require disclosure to government agencies and service providers as described in the Privacy Policy and permitted by law.

 

17. Prohibited Conduct

You may not misuse the Services, submit false information, impersonate another person, interfere with security features, introduce malicious code, scrape or copy the Services at scale, reverse engineer software except where legally permitted, misuse shipping labels, submit prohibited property, structure transactions to evade reporting, or use the Services for fraud, money laundering, theft, sanctions evasion, or any unlawful purpose.

 

18. Website Content and Intellectual Property

The Services, including Goldadex names, logos, designs, text, graphics, software, photographs, videos, and other content, are owned by or licensed to Goldadex and protected by law. Goldadex grants you a limited, revocable, nonexclusive, nontransferable license to use the Services for your personal, lawful transactions. No other rights are granted.

 

19. Third-Party Services

The Services may rely on carriers, insurers, banks, payment networks, identity-verification providers, pricing sources, hosting providers, and other third parties. Their services may be governed by separate terms and may become unavailable. References or links to third parties do not constitute a warranty or endorsement. Goldadex is not responsible for third-party acts or omissions except to the extent required by law.

 

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GOLDADEX DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

GOLDADEX IS A PURCHASER OF ELIGIBLE PROPERTY, NOT YOUR FINANCIAL, INVESTMENT, TAX, LEGAL, OR APPRAISAL ADVISER. ESTIMATES AND MARKET INFORMATION ARE NOT INVESTMENT ADVICE OR GUARANTEES. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

 

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDADEX AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITY, SENTIMENTAL VALUE, OR LOSS OF DATA, ARISING FROM THE SERVICES OR A TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLDADEX'S TOTAL LIABILITY FOR A CLAIM INVOLVING SUBMITTED PROPERTY WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT GOLDADEX ACTUALLY PAID FOR THAT PROPERTY; (B) THE AMOUNT OF AN ACCEPTED AND PAYABLE INSURANCE CLAIM FOR THAT PROPERTY; OR (C) THE VALUE OTHERWISE REQUIRED BY APPLICABLE LAW. THESE LIMITATIONS DO NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

 

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Goldadex and its members, managers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your breach of these Terms, lack of ownership or authority, unlawful conduct, false information, misuse of shipping materials, or violation of another person's rights. This section does not require indemnification for Goldadex's own fraud, willful misconduct, or gross negligence.

 

23. Disputes; Governing Law

Before filing a claim, you and Goldadex agree to attempt in good faith to resolve the dispute informally. Send a written description of the issue, requested resolution, relevant transaction number, and supporting documents to support@goldadex.com. Goldadex will use reasonable efforts to respond within 30 days.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies. Subject to any non-waivable consumer rights, any court proceeding must be brought in a state or federal court with jurisdiction in Los Angeles County, California. You may bring an eligible claim in small claims court. This draft does not include a mandatory arbitration or class-action waiver; Goldadex should obtain attorney advice before adding either provision.

 

24. Changes to the Services or Terms

Goldadex may update the Services and these Terms. The revised Terms will display a new effective date and will apply prospectively when posted or otherwise communicated, except where additional consent is required. Material changes will not retroactively alter a completed sale unless required by law or agreed by both parties.

 

25. Suspension and Termination

You may stop using the Services at any time, subject to completing pending transactions and legal obligations. Goldadex may suspend or terminate access for violation of these Terms, suspected fraud, risk, inactivity, legal requirements, or discontinuation of the Services. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limitations, indemnification, disputes, and record retention.

 

26. General Terms

These Terms, the Privacy Policy, kit disclosures, transaction-specific offer, and any written supplemental terms accepted by you form the agreement concerning the Services. If transaction-specific terms conflict with these Terms, the transaction-specific terms control for that transaction, except where prohibited by law.

If any provision is unenforceable, it will be limited or severed to the minimum extent necessary, and the remainder will remain effective. Goldadex's failure to enforce a provision is not a waiver. You may not assign your rights or obligations without Goldadex's written consent. Goldadex may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or by operation of law. Headings are for convenience only.
